3. Client Obligations & Cooperation
To ensure the timely and successful delivery of services, you agree to:
- Provide Timely Information: Promptly provide all necessary access to accounts, data, content, passwords, and other information required for the project.
- Designate a Point of Contact: Designate a single person who has the authority to make decisions and provide approvals for the project.
- Ensure Accuracy of Content: Ensure that any content, data, or materials you provide to us are your own or that you have the legal right to use them and that they do not violate anyone else’s rights, including copyrights or trademarks.
- Timely Approvals: Provide timely feedback and approval on all deliverables as requested by us.
Failure to meet these responsibilities may result in project delays, and we reserve the right to revise project timelines and costs as a result.
4. Payment Terms
- Pricing: All prices for our services will be detailed in the specific SOW or project proposal. Prices are listed in Indian Rupees (₹) unless otherwise specified.
- Invoicing & Payment: We will issue invoices according to the payment schedule outlined in the SOW. All invoices are due and payable within the specified time frame.
- Late Payment: If payment is not received by the due date, we reserve the right to suspend or terminate services until all outstanding payments are settled. We may also charge interest on overdue amounts at a rate of 1.5% per month or the maximum rate permitted by law.
5. Intellectual Property Rights
This section clarifies who owns what.
- Client IP: You retain all ownership rights to any intellectual property you provide to us for the project (“Client Materials”). You give us a limited license to use these materials solely for the purpose of completing the project.
- DIMRAJ Technologies IP: We retain all intellectual property rights to our proprietary methodologies, software, code, templates, and tools used to perform the services.
- Project Deliverables: Upon full and final payment, we will transfer to you all intellectual property rights to the final, completed work product created specifically for you under the SOW (e.g., website code, marketing campaign content, software application).
6. Confidentiality
This is a two-way agreement. Both parties agree to treat all information disclosed during the course of the project as confidential. This includes, but is not limited to, business plans, financial data, and trade secrets. Both parties will take all reasonable steps to protect and prevent the unauthorized use or disclosure of this confidential information. This obligation of confidentiality will survive the termination of our services.
7. Warranties and Disclaimers
- Our Warranty: We promise that our services will be performed in a professional and workmanlike manner, in accordance with the industry standards for each service category.
- Disclaimer: WE PROVIDE OUR SERVICES ON AN “AS-IS” AND “AS-AVAILABLE” BASIS. This means we don’t guarantee that the service or final product will be completely flawless or available 100% of the time. We are providing our services in their current state, and we are not liable for issues that are a natural part of technology and business operations, such as bugs or occasional downtime.
- Third-Party Platforms: We are not responsible for the functionality or terms of any third-party platforms (e.g., Google Ads, social media sites) that we use as part of our services. Your continued use of these platforms is subject to their own terms and conditions.
8. Limitation of Liability

- Your use of our services in an unlawful manner: If your use of our services leads to a claim against us due to illegal activities or misrepresentations on your part (e.g., fraudulent claims in a marketing campaign we created), you will bear all financial responsibility for the resulting legal actions.
